Agreement to Our Legal Terms

We are 17127901 Canada Inc., doing business as Aperture AI ("Company," "we," "us," "our").

We operate the mobile application Aperture AI (the "App"), as well as any other related products and services that refer or link to these legal terms (the "Legal Terms") (collectively, the"Services").

These Legal Terms constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you"), and 17127901 Canada Inc., concerning your access to and use of the Services. You agree that by accessing the Services, you have read, understood, and agreed to be bound by all of these Legal Terms. IF YOU DO NOT AGREE WITH ALL OF THESE LEGAL TERMS, THEN YOU ARE EXPRESSLY PROHIBITED FROM USING THE SERVICES AND YOU MUST DISCONTINUE USE IMMEDIATELY.

We will provide you with prior notice of any scheduled changes to the Services you are using. Changes to Legal Terms will become effective one (1) days after the notice is given, except if the changes apply to new functionality, security updates, bug fixes, and a court order, in which case the changes will be effective immediately. By continuing to use the Services after the effective date of any changes, you agree to be bound by the modified terms. If you disagree with such changes, you may terminate Services as per the section "Term and Termination."

The Services are intended for users who are at least 13 years of age. All users who are minors in the jurisdiction in which they reside (generally under the age of 18) must have the permission of, and be directly supervised by, their parent or guardian to use the Services. If you are a minor, you must have your parent or guardian read and agree to these Legal Terms prior to you using the Services.

We recommend that you print a copy of these Legal Terms for your records.

The information provided when using the Services is not intended for distribution to or use by any person or entity in any jurisdiction or country where such distribution or use would be contrary to law or regulation.

Our Intellectual Property

We are the owner or the licensee of all intellectual property rights in our Services, including all source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics (collectively, the "Content"), as well as the trademarks, service marks, and logos contained therein (the "Marks"). Our Content and Marks are protected by copyright and trademark laws and various other intellectual property rights and unfair competition laws and treaties in the United States and around the world.

3. User Representations

By using the Services, you represent and warrant that (1) all registration information you submit will be true, accurate, current, and complete; (2) you will maintain the accuracy of such information and promptly update such information as necessary; (3) you have the legal capacity and agree to comply with these Legal Terms; (4) you are not under the age of 13; (5) you are not a minor or you have parental permission; (6) you will not access the Services through automated or non-human means; and (7) your use of the Services will not violate any applicable law.

You may be required to register to use the Services. You agree to keep your password confidential and will be responsible for all use of your account. We reserve the right to remove or change a username you select if it is objectionable.

All products are subject to availability. We reserve the right to discontinue any products at any time. Prices are subject to change.

7. Subscriptions

Billing and Renewal

Your subscription will continue and automatically renew unless canceled. You consent to charges on a recurring basis without prior approval until you cancel. Billing cycle length depends on your chosen plan.

Free Trial

We offer a 7-day free trial to new users. The account will be charged at the end of the trial per your chosen subscription.

Cancellation

You can cancel via Apple's guide.

Fee Changes

We may change subscription fees and will communicate price changes as required by law.

8. Refunds Policy

All sales are final and no refunds will be issued.

9. Software

We may include software for use with our Services. If accompanied by an EULA, those terms apply. If not, we grant you a non-exclusive, revocable license to use such software solely with the Services.

The Services may invite you to contribute content ("Contributions"). You grant us rights to use, reproduce, modify, and distribute your Contributions in any media formats. You represent that your Contributions are yours and do not violate any third-party rights.

By posting Contributions, you grant us an unrestricted, irrevocable, perpetual, non-exclusive, transferable, royalty-free license to use, reproduce, modify, and distribute your Contributions. You retain ownership of your Contributions.

13. Mobile Application License

Use License

If you access via the App, we grant you a revocable, non-exclusive, non-transferable license to use the App on your devices in accordance with these terms.

Apple and Android Devices

For Apps obtained via Apple or Google Play, your license is non-transferable and governed by the App Distributor’s terms.

14. Social Media

You may link your account with third-party social accounts. You grant us permission to access and store Social Network Content you provide. You may disable this connection at any time.

15. Third-Party Websites and Content

The Services may include links to third-party websites and content not controlled by us. We are not responsible for their accuracy or policies.

16. Advertisers

We allow third-party advertisements. We have no relationship or endorsement responsibilities regarding advertiser content.

We reserve the right to monitor, suspend, or remove the Services, content, or accounts for violations at our discretion.

If you believe any material infringes your copyright, notify us per our policies. Misrepresentations may lead to liability.

We reserve the right to change, modify, or discontinue any part of the Services without notice. We are not liable for any interruption or suspension.

These Legal Terms are governed by the laws of Canada. You consent to the exclusive jurisdiction of Canadian courts.

Informal Negotiations

Before initiating arbitration, the Parties agree to informally negotiate for at least thirty (30) days.

Binding Arbitration

Any dispute shall be referred to the International Commercial Arbitration Court under the European Arbitration Chamber.

Restrictions

No class-action or representative arbitration is permitted; arbitration is limited to individual Disputes.

Exceptions to Arbitration

Disputes involving intellectual property, injunctive relief, or certain other matters are exempt and may be resolved in court.

We may correct errors, inaccuracies, or omissions in the Services at any time without prior notice.

25. Disclaimer

THE SERVICES ARE PROVIDED "AS-IS" WITHOUT WARRANTIES OF ANY KIND. TO THE FULL EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

IN NO EVENT SHALL WE BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

27. Indemnification

You agree to defend, indemnify, and hold us harmless from any claims, damages, liabilities, and expenses arising from your use of the Services or breach of these Legal Terms.

28. User Data

We maintain certain data you transmit. You are responsible for that data; we have no liability for loss or corruption of user data.

29. Electronic Communications, Transactions, and Signatures

Visiting the Services or sending emails constitutes electronic communications. You consent to receive electronic notices and agree that electronic signatures and records have the same effect as paper.

31. Miscellaneous

These Legal Terms and policies constitute the entire agreement. We may assign rights and obligations. If any provision is unenforceable, it shall be severed without affecting remaining provisions.
